Welcome to reelhop! We have drafted these Terms and Conditions of Use (these “Terms”), so that you’ll know the rules which govern our relationship with you as a user of our services (“You” or “Your”) and Reelhop Technologies Limited, (“We” or “Us” or “Our”).

Reelhop Technologies Limited operates a website, https://reelhop.com (the “Website”) and related mobile applications, (collectively the “Apps”). This Website and any content, tools, features and functionality offered on or through Our Website and the Apps are collectively referred to as the “Services”.

Reelhop technologies limited is a company registered in England whose registered office is 167-169 Great Portland Street, 5th Floor, London W1W 5PF with the company registration number 14367316.

Please take a few moments to read these Terms as access to the App and use of the Services are conditional upon acceptance of and compliance with these Terms. Once You access, use or view the App You will be legally bound by these terms.

Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your personal information when You use Our Services and tells You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Services.

1. Who can use Our Services

No-one below the age of 13 is allowed to create an account or use or services. If You are under 18 then You may only use Our Services with prior consent from Your parent or legal guardian. Please ensure that before using Our Services Your parent or legal guardian has discussed these Terms with You. By using Our Services You represent, warrant and agree that:

1.       You are resident in the UK or one if its territories;

2.       You are legally permitted to use the Services in Your country of home residence;

3.       You are legally permitted to use the Services in the country where usage is taking place;

4.       You have not have been previously banned or removed from using any of Our Services, unless we consent otherwise;

5.       You will comply with all local, national and international laws, rules and regulations;

6.       You will comply with Our terms of use and privacy policy?

2. Account creation

In order to use the Apps You must create a Reelhop account, (“Account”) which is specific to You. You agree to provide Us with accurate, complete and updated information for Your Account. You are responsible for any activity which takes place in Your Account so it's important You keep it secure. If You think someone has gained access to Your Account, please contact Us immediately via the need help? Get in touch sections of the App or Website, or you can email us at support@reelhop.com.

3. Ownership and content

3.1 Service Ownership

Our Services allows You to create, upload, store, receive, view, post, live stream, delete, react to and comment on content. We are the owner and provider of the Services including all proprietary content, information, material, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, video, music and “look and feel” of the Services and all related intellectual property rights. We grant You a worldwide, royalty-free, non-assignable, non-exclusive, revocable and non-sublicensable licence to use the Services. This licence is for the sole purpose of using and enjoying the Services in a way that these Terms allow.

In using Our Services You will be able to access other different types of content including:

1.       Content that You uploaded and provide (“Your Content”)

2.       Content that users of Our Services provide (“User Content”)

3.2 Your Content

When using Our Services and uploading Your Content, You represent and warrant to Us that You have all necessary rights and licences to do so. You are responsible and liable for Your content and will indemnify, defend, release, and hold Us harmless from any claims made in connection with Your Content. You therefore may not use the Services, or enable anyone else to use the Services, in a manner that violates or infringes someone else’s rights of publicity, privacy, copyright, trademark, or other intellectual property right. When You add content to the Service, You are solely responsible for ensuring and must ensure that You own that content, or that You have received all necessary permissions, clearances, and authorisations in order to submit it to the Service and grant the rights and licences contained in these Terms for Your content. If You believe there are any forms of infringement on the Service please report it using the contact us section of the App or Website or email us at support@reelhop.com

You retain whatever ownership rights in that content You had to begin with. But You grant Us a licence to use that content. For all content You submit to the Services, You grant Us and Our affiliates a worldwide, unrestricted, royalty-free, perpetual, sub-licensable, and transferable licence to use Your content in any way, including, without limitation to host, store, cache, use, display, reproduce, modify, adapt, edit, publish, analyse, transmit, exhibit, broadcast, syndicate, create derivative works from and distribute that content, in whole or in part and in any medium currently known or developed in the future. When You appear in, create, upload, or post Content, You also grant Us, Our affiliates, other users of the Services, and Our business partners an unrestricted, worldwide, royalty-free, and irrevocable right and licence to use the name, likeness, and voice, of anyone featured in Your Content. This means, among other things, that You will not be entitled to any compensation if Your content, videos, photos, sound recordings, musical compositions, name, likeness, or voice are used by Us, Our affiliates, users of the Services, or Our business partners.

While we are not required to do so, we may access, review, screen and delete Your content at any time and for any reason, including to provide and develop the Services or if we think Your content violates these Terms. However, You alone remain responsible for the content You create, upload, post, send or store through the Service.

We, Our affiliates, and Our third-party partners may place advertising on the Services, including personalised advertising based on the information You provide Us, we collect, or we obtain about You. Advertising may sometimes appear near, between, over, or in Your content.

3.2a Content Restrictions

We want Reelhop to be a safe and enjoyable environment where people can enjoy their experiences together, as such there is certain content we can not allow. While a comprehensive list of content which is not allowed on Reelhop is contained in this section, it's difficult to anticipate every type of situation. Therefore we ask users to comply with the Reelhop spirit and principles of enjoyment, togetherness, safety, respect, privacy and decency. We reserve the right to decide at Our sole discretion what content does not conform to the spirit and principles of Reelhop and will not be permitted on the platform.

You may not use Reelhop to capture, upload, store, promote or transmit any Content that is unlawful, offensive, upsetting, intended to disgust, threatening, libellous, defamatory, obscene or likely to harass, upset, embarrass, alarm, annoy, cause stress or anxiety to any other person or is otherwise objectionable. Examples of such objectionable Content include, but are not limited to, the following:

1.       Defamatory or discriminatory content towards the religion, race, sexual orientation, gender identity, gender expression, ethnicity, national origin, disability, or physical appearance of any individual or group;

2.       Obscene, pornographic or sexual content which involves exploitation, abuse or could offend other users;

3.       Content which is abusive, insulting, or threatening towards individuals or groups or promotes this behaviour and treatment of others;

4.       Content encouraging or engaging in violence, threats of violence or harm (including self-harm), towards any person, group, animal, or someone’s property;

5.       Content which is unlawful or promotes any unlawful activity;

6.       Spam, machine – or randomly – generated, constituting unauthorised or unsolicited advertising, chain letters, any other form of unauthorised solicitation, or any form of lottery or gambling;

7.       Infringing on any proprietary rights of any party, including patent, trademark, trade secret, copyright, right of publicity or other rights;

8.       Impersonating any person or entity including Reelhop and its employees or representatives;

9.       Violating the privacy of any third person;

3.3 User Content

Other Users and 3rd parties may also contribute content. User content is the sole responsibility of the user or entity which submitted it. Although We reserve the right to review and or remove all content that appears on Our Services, we do not necessarily review all of it. We can not and do not guarantee that other users or the content they provide through Our Services will comply with Our terms of use.

You do not have any rights in relation to Other users User Content.

3.4 Third Party Services

Our Services may display, include or make available content, data, information, applications or materials from third parties (“Third Party Materials”) or provide links to certain third party websites. By using the Services, You acknowledge and agree that We are not responsible for examining or evaluating the content, accuracy, completeness, availability, timeliness, validity, copyright compliance, legality, decency, quality or any other aspect of such Third Party Materials or websites. We do not warrant or endorse and do not assume and will not have any liability or responsibility to You or any other person for any third-party services, Third Party Materials or third-party websites, or for any other materials, products, or services of third parties.

3.5 Content Backups

Although regular backups of Content are performed, we do not guarantee there will be no loss or corruption of data. Corrupt or invalid backup points may be caused by, without limitation, Content that is corrupted prior to being backed up or that changes during the time a backup is performed.

We will provide support and attempt to resolve any known or discovered issues that may affect the backups of Content. But You acknowledge that we have no liability related to the integrity of Content or the failure to successfully restore Content to a usable state.

You acknowledge and agree that maintaining a complete and accurate copy of any content is Your sole responsibility and that You will store any and all content You wish to retain in a location which is independent to this service.

4. Your Feedback to Us

We appreciate feedback and suggestions and always love to hear from Our users. If You provide feedback or suggestions, You assign all rights, title and interest in any feedback to Us . We have the sole and exclusive right to use them without compensating You and without any restriction or obligation to You. You agree that We will own all rights in any materials or items We develop, modify, distribute and exploit based on such feedback or suggestions without restriction.

5. Privacy

Privacy is important and Your privacy matters to Us. You can understand how Reelhop manages Your personal information by reading Our Privacy Policy http://www.reelhop.com/privacy_policy. In using Our Services You acknowledge and agree to Reelhop using Your personal information in accordance with Our Privacy Policy http://www.reelhop.com/privacy_policy.

6. Using Our Service and Your obligations

When using Our Service You agree to comply with Our Terms of Use, any and all applicable international laws and regulations and any and all applicable laws and regulations in force at a country, regional or local level.

6.1 Mobile devices, connections and charges

When using Our Services You are responsible for providing the mobile device, internet connections and any additional equipment or service which You require to download, install and use Our Services. We do not guarantee that the Services can be downloaded, installed, accessed and used on any particular mobile device, on any particular service plan or within any particular geographic location.

You acknowledge that You are solely responsible for any cost, fee or expense that You incur to download, install, access and use Our Services on Your mobile device. If you are unsure about fees or charges that You may incur, You should ask Your internet service provider and mobile service provider before using Our services.

6.2 Restriction on using Our Services

You also agree You will not do, attempt to do, enable, or encourage anyone else to do, any of the following:

a)       Publish, licence or offer for sale any Content obtained from or through Our Services;

b)      reverse engineer, duplicate, decompile, dissemble or decode the Services, or otherwise extract the source code of the software of the service or attempt to do any of the same;

c)       use automation software such as robots/bots, hacks, modifications or any other automated means to access or modify the Services;

d)      use the Service in a way which violates or infringes Our or any other parties copyrights, trademarks or intellectual property rights;

e)      use or develop any third-party applications which interact with the Service without Our express consent;

f)        exploit the services for any commercial purpose, including without limitation communicating or facilitating any commercial advertisement or solicitation;

g)       access or use the services in any manner that could disable, overburden, damage, disrupt or impair the Services or negatively affect or inhibit other users from fully enjoying the Services,

h)      gain or attempt to gain access to, interfere with, damage or disrupt the services or any accounts registered to other users or any computer system or network connected to the services;

i)        engage in, attempt to engage in or encourage any other party to engage in any malicious activity designed to compromise, bypass, degrade, deactivate or circumvent the security of the services;

j)        introduce any viruses, trojan horses, worms, logic bombs or other materials that are malicious or technologically harmful into Our systems;

k)       submit, transmit, display, perform, post, store, share or copy any content which contravenes these Terms or does not comply with the Reelhop spirit and principles of enjoyment, togetherness, safety, respect, privacy and decency;

l)        violate any applicable law or regulation in connection with Your access to or use of the Services; or

m)    access or use the services in any way not expressly permitted by these terms.

6.3 Fair Use Policy and respecting other Users

We want all Users to really enjoy the Reelhop experience. While We want Our Users to use Reelhop as frequently as they wish, there may be occasions when excessive usage by a single User or group of Users places excessive strain on the platform. We reserve the right to decide at Our sole discretion what contravenes fair usage by a User. You agree and acknowledge that to protect the User experience for all Users, We can take, at Our sole discretion, any and all appropriate action without limitation and without prior notice or liability. This may include but not be limited to, (a) suspending the access of a User or Users to Our services; (b) Terminating an active reelhop; (c) Deleting content from a current or previous User Reelhops; (d) Terminating a User or Group of Users accounts.

7. Third party App store

The following additional terms and conditions apply to You if You download the App from a Third Party Store. To the extent that the other terms and conditions of these Terms are less restrictive than, or otherwise conflict with, the terms and conditions of this Section, the more restrictive or conflicting terms and conditions in this Section will apply, but solely with respect to the App and the Third Party Store. You acknowledge and agree that:

a)      These Terms are concluded solely between You and Us and not with the providers of the Third Party Store, and We, not the Third Party Store providers, are solely responsible for the App and the content thereof.

b)      Your use of the Apps must comply with the third party store applicable terms of use and You acknowledge that the Third Party Store provider has no obligation whatsoever to provide any maintenance and support services with respect to the App.

c)       The Third Party Store provider will have no warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be solely governed by these terms.

d)      We, not the Third Party Store provider, is responsible for addressing any claims You or any third party may have relating to the App or Your possession and/or use of the App, including, but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; (iii) claims arising under consumer protection or similar legislation; and/or (iv) intellectual property infringement claims.

e)      The Third Party Store provider and its subsidiaries are third party beneficiaries of these Terms, and, upon Your acceptance of these Terms, the Third Party Store provider from whom You obtained the App will have the right (and will be deemed to have accepted the right) to enforce these Terms against You as a third party beneficiary thereof.

8. Disclaimer

The Services are provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind, either express or implied.

To the maximum extent permitted under applicable law, We do not make any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Services, or the information and content included within the Services; (ii) that the Service will be uninterrupted or error-free; (iii) that the Service, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components; (iv) that the service is fit for purpose, meets Your need or is compatible with any third party systems. To the fullest extent permitted by law all such terms and warranties are excluded. 

Neither We or Our affiliates take responsibility or assume any liability for any content that You, another user or third party creates, uploads, posts, sends, receives, views or stores on or through Our Services. You understand and agree that You may be exposed to content which is illegal, misleading or otherwise inappropriate, none of which We will be responsible for. 

Your use of the Services is at Your own risk. You are solely responsible for Your interactions with other users and We are not responsible for the conduct of any user.

9. Indemnity

You agree, to the extent permitted by law, to indemnify, defend, and hold harmless Us and Our partners, affiliates, directors, officers, stockholders, employees, licensors, representatives and agents from and against any and all complaints, charges, claims, damages (actual or consequential), losses, proceedings, damages, costs, liabilities, and expenses (including any legal fees) due to, arising out of, or relating in any way to: (a) Your access to or use of the Services; (b) Your content, including infringement claims related to Your content; (c) Your breach of these Terms or any applicable law or regulation; (d) Your uploading or submission of content to the Apps; (e) Your violation of any rights of any third party; or (f) Your negligence or wilful misconduct.

We reserve the exclusive right to settle, compromise, pay, legally defend and assume control of any matter subject to indemnification by You, in which event You agree to cooperate with Us in defending such claims. This indemnification obligation will survive these Terms and the termination of Your use of the Platform.

10. Limitations of Liability

To the extent not prohibited by law, You agree that We and Our affiliates, partners, directors, officers, employees, stockholders, licensors, suppliers and agents will not be liable for any direct, indirect, consequential, incidental, special or punitive, damages or any loss of use, data, profits or revenue, business interruption, loss of or damage to property, third party claims, goodwill or any other intangible losses resulting from (a)Your use of or access to Our Services or inability to use or access Our Services; (b) the conduct or content of Other users or third parties on Our Services. However caused, whether based on breach of contract, Tort (including negligence), proprietary rights infringement, product liability or otherwise.

This forementioned shall apply even if We were advised of the possibility of such damages. If You become dissatisfied in any way with Our Services Your sole remedy is to stop using Our Services.

Nothing in these terms, to which You are subject, will exclude Us or Our affiliates from liability for death or personal injury resulting from Our negligence or Our fraud or fraudulent misrepresentations or any other liability that cannot be lawfully excluded.  

11. Termination

While We hope You will continue to enjoy Our Services You can terminate these terms at any time and for any reason by deleting Your Reelhop account.

We may terminate or suspend You from accessing Our Services if You fail to comply with these terms, or the law, or for any reason whatsoever without limitation and without prior notice or liability, under Our sole discretion. At termination of these terms for any reason We may, but are not obliged to, delete Your account and any or all User generated content.

Regardless of who terminates these terms all sections of these Terms which should survive the termination of these terms shall remain in full force and effect.

12. Changes to these Terms

As Reelhop grows and develops We may have to make changes to these Terms. As such, We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion. However, it is Your sole responsibility to review these Terms from time to time to view any such changes. The updated Terms will be effective from the date they are revised and published. By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using Our Service.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remainder of the Terms shall survive, remain in full force and effect and continue to be legally binding and enforceable.

14. General Terms

14.1 Assignment

These Terms and the licences granted hereunder may be assigned by the Company but may not be assigned by You without Our prior express written consent.

14.2 Waiver

No delay or failure to exercise a right or to require performance of an obligation under these Terms shall affect a party's ability to exercise such right or require such performance at any time thereafter.

14.3 Compliance with Law

The Platform has been prepared, and is intended for use, in accordance with the laws of England and Wales. If You access the Platform from locations outside of England and Wales, You are responsible for compliance with local laws where they are applicable.

By using Our Services, You agree and acknowledge that We operate in the UK. In submitting Your personal information and making use of Our Services, You agree to the transfer of Your personal information to and storage and processing of Your personal information within the United Kingdom.

14.4 Governing Law and Jurisdiction

These are governed by English law and under the jurisdiction of the English Courts
